These Terms of Service ("Terms") govern your access to and use of our cross-border clearing and settlement services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

Please read these Terms carefully before utilizing our services. Your use signifies your full understanding and acceptance of these provisions, including those highlighted for emphasis, disclaimers of liability, and clauses pertaining to governing law and dispute resolution. Should you disagree with any part of these Terms, you must immediately discontinue your registration and use of our services.

We provide a robust cross-border clearing and settlement infrastructure tailored for global financial institutions, including banks, remittance operators, and fintech companies. Our services encompass:

We do not operate as a bank, financial institution, or money transmitter. Our role is strictly limited to providing the infrastructure and solutions for foreign currency collection and settlement.

4. Account Registration and Management

4.1 Eligibility

By registering, you confirm that you possess the necessary legal capacity to enter into this agreement under the laws of your jurisdiction. If you lack such capacity, you and your guardian are responsible for any resulting consequences.

4.2 Registration Process

To access our services, you must provide all requested information for Account creation. Upon approval, we will establish your unique Collection Account. We reserve the right to request additional information to verify and record your identity, including details about your company's shareholders, to ensure compliance with legal and regulatory requirements. You agree to maintain the accuracy and completeness of your Account information.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your Account username and password. Promptly notify us of any unauthorized use of your credentials. Any actions performed through your Account are deemed authorized by you, and you bear responsibility for all associated transactions and fees.


5. Service Operation

5.1 Fund Receipt

Upon successful registration, we will provide your unique Collection Account. You agree that this Collection Account, acting as your agent, is established with a Service Provider for the limited purpose of receiving incoming funds. You must provide your Collection Account details to Buyers, Marketplaces, or Transaction Collaborators from whom you expect payments. Funds remitted to your Collection Account will solely be used for settlement to your designated Customer Bank Account.

Our services only accept funds transferred to the Collection Account by approved Buyers, Marketplaces, or Transaction Collaborators, and only for legitimate, verifiable transaction purposes. You cannot transfer, pledge, or otherwise encumber your rights to funds within the Collection Account in violation of these Terms. You waive any right to claim interest on funds held in the Collection Account, acknowledging that this right belongs to us.

5.2 Fund Settlement

We will accurately reflect the Remitted Funds in your Account, accessible for online viewing and management. To settle funds to your Customer Bank Account, you must submit a settlement application through your Account, adhering to our transaction rules. We will then submit your application to the Service Provider for foreign exchange settlement, with funds typically reaching your Customer Bank Account within 1 to 3 Working Days.

Should you require settlement to a third-party account for a legitimate business purpose, you must comply with our transaction rules; such third-party accounts will then be considered your Customer Bank Account for settlement purposes under these Terms. We and our Service Providers may conduct necessary due diligence on settlement requests, requiring you to provide or authorize us to collect relevant transaction records. You may not settle funds to any Customer Bank Account not belonging to you, except as explicitly agreed. We are not liable for funds sent to incorrect bank accounts due to inaccurate payment information provided by you, though we will undertake reasonable efforts to assist in tracing and recovery, with associated costs borne by you.

5.3 Fund Freezing and Return

We or our Service Providers may temporarily freeze funds or initiate a return if a settlement is deemed to violate applicable laws, these Terms, or exposes us to undue security, financial, or reputational risks. Such circumstances include, but are not limited to, court orders, government notices, security alerts regarding your Account, abnormal operations, or confirmed fraudulent or illegal transactions. If your funds are frozen and you fail to appeal within the specified timeframe, we may report the matter to the authorities, potentially leading to confiscation of funds in accordance with applicable laws.


6. Fees and Charges

Our fee schedule is available on our website and within your Account. We reserve the right to modify service charges with prior notification via website announcements. Our fees do not include charges levied by Service Providers or other third-party service providers. You remain responsible for our fees even if funds are sent to an incorrect bank account or declined due to inaccurate payment information provided by you. You are solely responsible for reporting all received funds to relevant tax authorities and for the payment of any applicable taxes.


7. Data Privacy and Protection

We implement commercially reasonable administrative and technical measures to safeguard your personal information against accidental loss, unauthorized access, use, or disclosure. However, we cannot guarantee absolute security. You acknowledge that you provide personal information at your own risk.

We collect, store, use, disclose, and protect your information, including registration details, fund receipts and payments, and transaction records, in accordance with our Privacy Policy published on our website. We encourage you to review the Privacy Policy thoroughly to understand our data handling practices.

You agree that we may share your information with current or future Service Providers, for regulatory purposes, and as required by law, legal process, or court order. This includes sharing for regulatory and compliance purposes, to facilitate our services, and to implement our compliance and risk management procedures.


8. Limitation of Liability

Neither we nor our Service Providers assume responsibility for your Buyers, Marketplaces, products, or any other aspect of your business operations. You bear full responsibility for your products, Buyers, and Marketplaces, including:

Our services are provided "as is" and "as available." We are not liable for damages caused by unforeseeable or uncontrollable circumstances, including but not limited to network failures, system malfunctions, power outages, natural disasters, acts of government, or third-party damage.

We or our Service Providers will not be liable for:

We are not responsible for non-performance or delays caused by events beyond our reasonable control. Once funds are remitted to your Customer Bank Account, you release us from further responsibility. All provisions of this section shall survive the termination of these Terms.


9. Indemnification

You agree to indemnify and hold us, our Service Providers, and their respective directors, executives, employees, and agents harmless from all claims and expenses (including legal fees) arising from your use of our services, including but not limited to your breach of these Terms. If you incur losses due to our fault during your use of our services, you may seek compensation from us in accordance with these Terms.


10. Warranties

You represent and warrant that your use of our services will strictly adhere to our Privacy Policy, these Terms, and all applicable laws and regulations, including those governing online conduct and the transfer of technical information. You further warrant that your use of our services will not infringe upon any third party's intellectual property rights.


11. Amendments to Terms

We may revise these Terms and any supplementary agreements periodically to align with legal changes, maintain transaction order, protect user rights, and accommodate business needs. Revised Terms will be announced on our website. If you do not agree with the effective changes, you must cease using our services from the effective date. Your continued use after changes become effective signifies your acceptance. Disputes arising prior to the changes will be resolved under the terms applicable at the time the dispute arose.


12. Termination

We may terminate your access to all or part of our services at any time, with or without notice or reason. To terminate this agreement or your Account, simply cease using our services. If your Account remains inactive for six (6) months and we are unable to contact you, we will assume you have ceased using our services. All provisions which by their nature should survive termination, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability, will remain in effect.

Upon termination, we will forcibly settle any balance in your Collection Account to your Customer Bank Account, and then deactivate your Collection Account. We retain the right to continue storing your Account information as required by law.


13. Intellectual Property

Unless explicitly stated otherwise in writing, all intellectual property rights and related rights (including trademarks, patents, copyrights, and trade secrets) pertaining to our services are owned by us. No party may use these without our express permission.


14. Miscellaneous

These Terms constitute the entire agreement between you and us regarding the subject matter herein and can only be modified through a written document signed by an authorized executive or through our issuance of a revised version. No waiver of any term or condition or any breach thereof shall constitute a waiver of such term, condition, or any subsequent breach. You are prohibited from assigning your rights under these Terms without our consent. We may unconditionally transfer our rights under these Terms, and this Agreement will be binding on our assignee.


15. Governing Law and Jurisdiction

The formation, effectiveness, interpretation, amendment, supplementation, termination, enforcement, and dispute resolution of these Terms shall be governed by the laws of Hong Kong. Any disputes arising from or in connection with these Terms shall be subject to arbitration in Hong Kong. If any provision of these Terms is deemed unenforceable, that provision shall be severed without affecting the validity and enforceability of the remaining provisions.
